By using the app, you agree to our rules on eligibility, payments, cancellations, conduct, and safety, including an assumption of risk and liability release for sports activities. 1) Acceptance of Terms
These Terms & Conditions (the “Terms”) govern your access to and use of the RunItUp mobile application, website(s), and related services (collectively, the “Service”) provided by RunItUp, Inc. (“RunItUp,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Notice (collectively, the “Agreement”). If you do not agree, do not use the Service.
2) Eligibility
- You must be at least 13 years old to use the Service. If you are under 18 (or the age of majority where you live), you may use the Service only with consent of a parent or legal guardian who agrees to these Terms.
- You represent that you are legally permitted to use the Service in your jurisdiction and that all information you provide is accurate and up to date.
3) Accounts & Security
- You are responsible for your account credentials and for all activity under your account.
- Do not share your verification codes or allow unauthorized use. Notify us immediately of any suspected breach.
4) Bookings, Payments & Fees
- When you book a session (“Run”), you agree to pay the displayed price, taxes, and any applicable service fees. Payments may be processed by third parties (e.g., Stripe, Apple Pay, Google Pay).
- Some Runs may be free; others may include gym or court fees. Prices are shown before you confirm a booking.
- You authorize RunItUp and its payment processors to charge your selected payment method for all amounts due. You are responsible for any chargebacks, bank fees, or penalties.
- We may place a temporary hold and later capture funds in accordance with the Run’s cancellation window and attendance status.
5) Cancellations, Refunds & No‑Show Policy
- Each Run may have a specific cancellation window. Cancellations after the cutoff or no‑shows may be non‑refundable.
- Refund eligibility is shown at booking time and in your receipt. Where permitted, refunds will be issued to the original payment method.
- Repeated no‑shows, chargebacks, or abuse may lead to account suspension or termination.
6) Waitlists & Guests
- If a Run is full, you may join a waitlist. If a spot opens, we may auto‑confirm your booking and charge your payment method. You will be notified in‑app.
- Guest participation is allowed only if the Run settings or host permit it. You are responsible for your guests’ compliance with these Terms.
7) Community Conduct
- Treat others with respect. Harassment, discrimination, violence, or unsafe play is prohibited.
- Follow venue rules, host instructions, and applicable laws. Do not damage equipment or property.
- We may remove users or cancel Runs that violate these Terms or jeopardize safety.
8) Assumption of Risk; Release of Liability
Sports activities involve inherent risks, including serious injury or death. By participating in any Run arranged through the Service, you knowingly and voluntarily assume all such risks. To the maximum extent permitted by law, you release and hold harmless RunItUp, its affiliates, hosts, organizers, venue partners, and their officers, employees, and agents from any claims arising out of or related to your participation in any Run, including claims based on negligence. Some jurisdictions do not allow certain releases; in those cases, this provision applies to the fullest extent permitted.
9) Waivers & E‑Sign Consent
- You may be required to sign a liability waiver, photo release, or similar agreement electronically before attending a Run. By using the Service, you consent to receive and sign documents electronically and agree that your e‑signature is equivalent to a handwritten signature.
- Failure to sign required waivers may result in cancellation without refund.
10) Health & Safety
- Participate only if you are physically able and medically cleared. If you feel unwell or unsafe, stop playing and seek assistance.
- You agree to comply with any applicable public health guidelines (e.g., infectious disease protocols) set by venues or local authorities.
11) User Content & Messaging
- You may post messages, photos, or other content. You retain ownership of your content but grant RunItUp a worldwide, non‑exclusive, royalty‑free license to host, use, reproduce, and display it for the operation of the Service.
- Do not upload content that is illegal, infringing, hateful, or violates privacy or publicity rights. We may remove content that violates these Terms.
12) Privacy & Data
- We collect and use information as described in our Privacy Notice, including location data to show nearby Runs and to enhance safety features.
- We may send transactional notifications (e.g., booking confirmations, reminders). You can manage certain preferences in settings.
13) Third‑Party Services
The Service may integrate third‑party services such as payment processors (e.g., Stripe), mapping (e.g., Google Maps), cloud messaging (e.g., Firebase), or analytics. We are not responsible for third‑party services or their terms, which may apply to you.
14) Intellectual Property
The Service, including software, designs, logos, and trademarks, are owned by RunItUp or its licensors and are protected by law. You receive a limited, non‑transferable license to use the app in accordance with these Terms. You may not copy, modify, reverse engineer, or create derivative works except as permitted by law.
15) App Store Terms
If you downloaded the app from the Apple App Store or Google Play, their terms and policies also apply. Apple and Google are not responsible for providing support or maintenance for the Service.
16) Changes to Runs, Pricing, or the Service
We may modify or discontinue Runs, features, or pricing, and we may correct errors or inaccuracies including after a booking, where permitted by law. If a material change affects a confirmed booking, we will endeavor to notify you and provide available options.
17) Suspension & Termination
We may suspend or terminate your account or access to the Service for any violation of these Terms, suspected fraud, safety risks, or as required by law. You may stop using the Service at any time.
18) Disclaimers; Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNITUP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNITUP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
19) Indemnification
You agree to defend, indemnify, and hold harmless RunItUp and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, your participation in Runs, or your violation of these Terms or applicable law.
20) Governing Law; Dispute Resolution
- Governing Law: These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict of laws rules.
- Arbitration: Any dispute arising out of or relating to this Agreement will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association. Class actions and jury trials are waived.
- Opt‑Out: You may opt out of arbitration by sending written notice within 30 days of first accepting these Terms to: legal@runit-up.com.
21) Miscellaneous
- Severability: If any provision is unenforceable, the remaining provisions remain in effect.
- Entire Agreement: These Terms plus any policies referenced herein constitute the entire agreement between you and RunItUp and supersede prior agreements.
- No Waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign these Terms; we may assign as permitted by law.
